關於民法典合同編融資租賃章節立法的幾點思考與建議

2019年12月23日(ri),民(min)法(fa)典(dian)草(cao)案(an)已(yi)於(yu)當(dang)日(ri)提(ti)交(jiao)十(shi)三(san)屆(jie)全(quan)國(guo)人(ren)大(da)常(chang)委(wei)會(hui)第(di)十(shi)五(wu)次(ci)會(hui)議(yi)審(shen)議(yi)。這(zhe)標(biao)誌(zhi)著(zhe)備(bei)受(shou)關(guan)注(zhu)的(de)中(zhong)國(guo)民(min)法(fa)典(dian)呼(hu)之(zhi)欲(yu)出(chu)。根(gen)據(ju)我(wo)國(guo)確(que)定(ding)的(de)民(min)法(fa)典(dian)立(li)法(fa)規(gui)劃(hua),編(bian)纂(zuan)民(min)法(fa)典(dian)采(cai)取(qu)“兩步走”:第一步先出台民法總則;第二步編纂民法典各分編,適時出台民法典。2017年3月yue十shi二er屆jie全quan國guo人ren大da五wu次ci會hui議yi審shen議yi通tong過guo民min法fa總zong則ze,完wan成cheng了le民min法fa典dian編bian纂zuan工gong作zuo的de第di一yi步bu。當dang前qian,民min法fa典dian各ge分fen編bian草cao案an已yi提ti請qing全quan國guo人ren大da常chang委wei會hui審shen議yi,意yi味wei著zhe邁mai出chu了le“第二步”。筆者曾參與了1999年合同法第十四章以及2014年(nian)最(zui)高(gao)人(ren)民(min)法(fa)院(yuan)關(guan)於(yu)融(rong)資(zi)租(zu)賃(lin)司(si)法(fa)解(jie)釋(shi)的(de)征(zheng)求(qiu)意(yi)見(jian)工(gong)作(zuo),也(ye)有(you)幸(xing)參(can)與(yu)了(le)此(ci)次(ci)民(min)法(fa)典(dian)融(rong)資(zi)租(zu)賃(lin)章(zhang)節(jie)編(bian)纂(zuan)的(de)征(zheng)求(qiu)意(yi)見(jian)。在(zai)本(ben)次(ci)融(rong)資(zi)租(zu)賃(lin)合(he)同(tong)章(zhang)節(jie)的(de)編(bian)纂(zuan)過(guo)程(cheng)中(zhong),以(yi)下(xia)是(shi)我(wo)們(men)對(dui)於(yu)該(gai)章(zhang)草(cao)案(an)的(de)一(yi)些(xie)建(jian)議(yi),特(te)此(ci)分(fen)享(xiang),以(yi)饗(xiang)讀(du)者(zhe)。

 

一、立法原則

融資租賃合同章節作為合同編的一節,主要以規範融資租賃合同這一有名合同的權利、義務關係。在該等合同編章節的編纂過程,以及當事人權利義務衡平、法律製度構架時,應著重考慮簡潔性、兼容性以及有效性的原則。

 

1、簡潔性原則

其qi次ci,從cong民min法fa基ji本ben原yuan則ze而er言yan,尊zun重zhong當dang事shi人ren意yi思si自zi治zhi是shi民min法fa的de重zhong要yao原yuan則ze。民min法fa典dian僅jin需xu對dui當dang事shi人ren基ji本ben權quan利li義yi務wu起qi到dao保bao障zhang,剩sheng餘yu未wei盡jin事shi項xiang可ke以yi交jiao由you當dang事shi人ren自zi由you約yue定ding,而er不bu需xu要yao通tong過guo法fa典dian形xing式shi規gui製zhi。相xiang反fan,過guo於yu細xi節jie的de規gui定ding可ke能neng限xian製zhi當dang事shi人ren約yue定ding的de空kong間jian,以yi及ji交jiao易yi結jie構gou的de創chuang新xin,反fan而er可ke能neng製zhi約yue融rong資zi租zu賃lin交jiao易yi的de發fa展zhan。

 

再zai次ci,如ru果guo民min法fa典dian的de規gui定ding過guo於yu冗rong長chang,在zai實shi踐jian中zhong也ye不bu利li於yu社she會hui對dui於yu法fa典dian的de理li解jie和he適shi用yong。同tong時shi,如ru果guo社she會hui情qing況kuang發fa生sheng變bian化hua,過guo於yu細xi節jie的de規gui定ding更geng容rong易yi與yu實shi踐jian產chan生sheng矛mao盾dun,反fan而er影ying響xiang法fa典dian的de穩wen定ding性xing。

 

2、兼容性原則

雖sui然ran一yi切qie成cheng文wen法fa典dian立li法fa均jun可ke能neng存cun在zai滯zhi後hou性xing的de問wen題ti,但dan民min法fa典dian對dui於yu融rong資zi租zu賃lin的de立li法fa除chu考kao慮lv對dui於yu現xian有you社she會hui實shi踐jian進jin行xing規gui製zhi的de情qing況kuang,還hai應ying該gai為wei後hou續xu社she會hui和he交jiao易yi發fa展zhan留liu出chu餘yu地di,以yi便bian推tui動dong融rong資zi租zu賃lin合he同tong和he融rong資zi租zu賃lin交jiao易yi今jin後hou的de發fa展zhan。民min法fa典dian的de兼jian容rong性xing應ying考kao慮lv深shen度du和he廣guang度du兩liang個ge維wei度du。首shou先xian,從cong深shen度du的de角jiao度du看kan,民min法fa典dian作zuo為wei國guo家jia民min法fa領ling域yu基ji本ben法fa律lv,其qi一yi經jing製zhi定ding,則ze可ke預yu見jian其qi將jiang在zai相xiang當dang長chang的de時shi期qi內nei持chi續xu有you效xiao。因yin此ci,法fa典dian的de規gui定ding需xu要yao給gei租zu賃lin行xing業ye的de發fa展zhan預yu留liu發fa展zhan的de空kong間jian。其qi次ci,從cong廣guang度du的de角jiao度du,法fa典dian也ye應ying平ping行xing吸xi收shou國guo際ji上shang先xian進jin的de經jing驗yan。因yin此ci,在zai法fa典dian製zhi定ding過guo程cheng,需xu借jie鑒jian先xian進jin的de國guo際ji經jing驗yan,並bing為wei可ke能neng的de社she會hui變bian化hua留liu有you空kong間jian。

 

3、有效性原則

一部有效的租賃立法應該通過對於權利義務關係的規範,從而具有預計糾紛處理方式的能力,並且因此得出的處理結果是唯一、公gong平ping。在zai上shang述shu條tiao件jian的de前qian提ti下xia,民min法fa典dian可ke以yi有you效xiao規gui範fan市shi場chang,作zuo為wei當dang事shi人ren進jin行xing交jiao易yi的de準zhun則ze和he依yi據ju。因yin此ci,對dui於yu此ci次ci融rong資zi租zu賃lin章zhang節jie草cao案an的de條tiao文wen,均jun應ying以yi有you效xiao性xing作zuo為wei評ping判pan標biao準zhun,即ji當dang事shi人ren可ke否fou依yi據ju該gai法fa律lv的de規gui定ding獲huo得de可ke預yu測ce且qie公gong平ping的de法fa律lv後hou果guo。

 

二、關於融資租賃合同(交易)法律製度的建議

融資租賃合同,是融資租賃交易的基礎,但卻不是融資租賃交易的全部。在一個典型的融資租賃交易中(暫不討論售後回租)應包括三方當事人、兩liang個ge合he同tong關guan係xi。製zhi定ding融rong資zi租zu賃lin合he同tong法fa律lv,則ze需xu要yao以yi全quan麵mian考kao慮lv三san方fang當dang事shi人ren全quan麵mian權quan利li義yi務wu關guan係xi為wei前qian提ti。基ji於yu此ci,針zhen對dui民min法fa典dian草cao案an中zhong關guan於yu融rong資zi租zu賃lin合he同tong編bian立li法fa中zhong重zhong要yao製zhi度du安an排pai以yi及ji關guan鍵jian條tiao款kuan,部bu分fen確que值zhi得de商shang榷que探tan討tao。

 

1、關於索賠權轉讓的理論調整

對於原合同法(草案沿用)的法律製度,我國采用的是“索賠權轉讓說”,即ji合he同tong項xiang下xia雙shuang方fang可ke以yi約yue定ding索suo賠pei權quan由you出chu租zu人ren轉zhuan讓rang給gei承cheng租zu人ren,並bing由you出chu賣mai人ren直zhi接jie向xiang承cheng租zu人ren承cheng擔dan責ze任ren。上shang述shu規gui定ding具ju有you一yi定ding的de可ke行xing性xing,也ye較jiao為wei容rong易yi按an照zhao現xian有you法fa律lv體ti係xi理li解jie,本ben次ci草cao案an用yong較jiao大da篇pian幅fu汲ji取qu了le司si法fa解jie釋shi中zhong對dui於yu合he同tong索suo賠pei權quan行xing使shi的de具ju體ti規gui定ding,但dan這zhe些xie規gui定ding存cun在zai以yi下xia問wen題ti:

 

1)guidingguoyuxizhi,fangzaiminfadianzhonglvexianrongchang。cichuduotiaozhijieshiyongsifajieshideguiding,dansifajiechudelifayuyanzhuyaocaiyongliejushi,bufuheminfadiangaodugaikuohejianyaodetedian。

 

2)仍采用索賠權轉讓的方式規範索賠。對此,我們建議可以參考借鑒《國際統一私法協會租賃示範法》(以下簡稱“示範法”)dexiangguanguiding。suopeiquanzhuanrangshizhihetongxiangxiashuangfangkeyiyuedingsuopeiquanyouchuzurenzhuanranggeichengzuren,bingyougongyingshangzhijiexiangchengzurenchengdanzeren。shangshuguidingyouyidingdekexingxing,yejiaoweirongyianzhaoxianyoufalvtixilijie。youyuquanlidezhuanranghexingshishijiyuquanlizhuanrang,zaihetongzhengchanglvxingshijiaoweirongyicaozuo,danruguochuxianmaimaihetongjieduanshejisanfangdeweiyuejiufenshi,sanfangdangshirendesuopeihequanlixingshijiangcunzaiyidingdewenti。ciwai,ruguochuxianhetongjiechudewentishi,sanfangdangshirendesuopeihexiangguanquanlidexingshiyehuizaochengkunrao。kaolvdaoshijianzhongrongzizulinjiaoyijibenbuhuichuxianbuzhuanrangsuopeiquandeqingkuang,womenjianyikecankaoshifanfa,yifalvnizhidefangshiduisuopeiquanjinxingguifan,gaidengfanganzailifajishushanggengnengtixianrongzizulinhetongdetedian,luojiyegengweiqingxi,biaoshugengweijianjie。

 

《國際統一司法協會租賃示範法》第七條:

融資租賃中的承租人作為供貨合同的受益人

1.融(rong)資(zi)租(zu)賃(lin)中(zhong),供(gong)貨(huo)人(ren)依(yi)供(gong)貨(huo)合(he)同(tong)的(de)義(yi)務(wu)亦(yi)可(ke)向(xiang)承(cheng)租(zu)人(ren)履(lv)行(xing),就(jiu)如(ru)同(tong)承(cheng)租(zu)人(ren)是(shi)該(gai)供(gong)貨(huo)合(he)同(tong)的(de)當(dang)事(shi)人(ren),該(gai)租(zu)賃(lin)物(wu)是(shi)直(zhi)接(jie)提(ti)供(gong)給(gei)承(cheng)租(zu)人(ren)一(yi)樣(yang)。供(gong)貨(huo)人(ren)就(jiu)同(tong)一(yi)損(sun)害(hai)不(bu)應(ying)同(tong)時(shi)向(xiang)出(chu)租(zu)人(ren)和(he)承(cheng)租(zu)人(ren)承(cheng)擔(dan)責(ze)任(ren)。

2.依據承租人的要求,出租人應將強製履行供貨合同的權利轉讓給承租人。否則出租人應承擔供貨人義務。

3.在(zai)承(cheng)租(zu)人(ren)同(tong)意(yi)的(de)供(gong)貨(huo)合(he)同(tong)中(zhong),任(ren)何(he)條(tiao)款(kuan)的(de)修(xiu)改(gai)不(bu)影(ying)響(xiang)承(cheng)租(zu)人(ren)依(yi)本(ben)條(tiao)所(suo)享(xiang)有(you)的(de)權(quan)利(li),除(chu)非(fei)承(cheng)租(zu)人(ren)同(tong)意(yi)該(gai)修(xiu)改(gai)。如(ru)果(guo)承(cheng)租(zu)人(ren)不(bu)同(tong)意(yi)該(gai)修(xiu)改(gai),出(chu)租(zu)人(ren)應(ying)在(zai)修(xiu)改(gai)的(de)範(fan)圍(wei)內(nei)向(xiang)承(cheng)租(zu)人(ren)承(cheng)擔(dan)供(gong)貨(huo)人(ren)義(yi)務(wu)。

4.當事人不得減損或變更本條第1、2、3款規定的效力。

5.本條中的任何規定均不賦予承租人未經出租人同意即變更、終止或解除供貨合同的權利。

 

《示範法》通(tong)過(guo)法(fa)律(lv)擬(ni)製(zhi),以(yi)交(jiao)付(fu)作(zuo)為(wei)區(qu)分(fen),將(jiang)承(cheng)租(zu)人(ren)支(zhi)付(fu)租(zu)金(jin)及(ji)供(gong)貨(huo)人(ren)提(ti)供(gong)貨(huo)物(wu)作(zuo)為(wei)絕(jue)對(dui)的(de)義(yi)務(wu),直(zhi)接(jie)賦(fu)予(yu)承(cheng)租(zu)人(ren)因(yin)租(zu)賃(lin)物(wu)索(suo)賠(pei)的(de)權(quan)利(li)。除(chu)此(ci)之(zhi)外(wai),示(shi)範(fan)法(fa)將(jiang)承(cheng)租(zu)人(ren)擬(ni)製(zhi)為(wei)“買賣合同中受益人”,即除非當事人另有約定,承租人自然享有買賣合同項下買受人的權利,但不承擔買受人的義務(支付價款的義務由出租人承擔)。因為法律的擬製,一個當事人隻享有一個權利,承擔一個義務,並隻對一方承擔,此時任意一方的違約都可以用一次訴訟解決。

 

在此情況下,當買賣合同出現爭議時,承租人可以依此被視為合同當事人,直接借鑒並適用合同編“買賣合同”章節的規定即可。

綜zong上shang,我wo們men建jian議yi法fa典dian借jie鑒jian租zu賃lin示shi範fan法fa的de相xiang關guan規gui定ding,采cai用yong擬ni製zhi的de立li法fa技ji術shu對dui索suo賠pei權quan進jin行xing規gui製zhi。如ru果guo采cai用yong該gai方fang案an,相xiang關guan的de條tiao文wen的de邏luo輯ji更geng為wei清qing晰xi,條tiao文wen表biao述shu亦yi更geng加jia明ming確que。在zai確que定ding了le權quan利li義yi務wu關guan係xi原yuan則ze的de情qing況kuang下xia,規gui定ding亦yi不bu死si板ban,可ke以yi給gei予yu當dang事shi人ren自zi由you約yue定ding的de空kong間jian。

 

2、關於租賃物不屬於破產財產

本次民法典合同編草案(“草案”)中刪除了原合同法第二百四十二條“承租人破產的,租賃物不屬於破產財產”deguiding。duiyurongzizulinjiaoyieryan,qiyuqitadongchandanbaojiaoyizuidadebutong,jiushichuzurenbenshenjiduiyuzulinwuxiangyousuoyouquan。zaichengrenchuzurenduiyuzulinwuxiangyousuoyouquandeqingkuangxia,zaiyidingshiyoufashengzhishi,chuzurenzirandeyixingshiqijiyusuoyouquanyanshengdewuquanqingqiuquan(所有物返還請求權)。在(zai)實(shi)踐(jian)中(zhong),租(zu)賃(lin)物(wu)是(shi)否(fou)屬(shu)於(yu)破(po)產(chan)財(cai)產(chan)以(yi)及(ji)出(chu)租(zu)人(ren)行(xing)使(shi)取(qu)回(hui)權(quan)是(shi)否(fou)順(shun)利(li)是(shi)判(pan)斷(duan)法(fa)律(lv)製(zhi)度(du)對(dui)於(yu)融(rong)資(zi)租(zu)賃(lin)交(jiao)易(yi)是(shi)否(fou)有(you)效(xiao)保(bao)護(hu)的(de)基(ji)礎(chu)。此(ci)外(wai),租(zu)賃(lin)物(wu)不(bu)屬(shu)於(yu)破(po)產(chan)財(cai)產(chan)有(you)利(li)於(yu)明(ming)確(que)融(rong)資(zi)租(zu)賃(lin)與(yu)其(qi)他(ta)動(dong)產(chan)擔(dan)保(bao)交(jiao)易(yi)的(de)本(ben)質(zhi)區(qu)別(bie),也(ye)有(you)利(li)於(yu)避(bi)免(mian)理(li)論(lun)和(he)實(shi)務(wu)界(jie)將(jiang)融(rong)資(zi)租(zu)賃(lin)合(he)同(tong)和(he)其(qi)他(ta)動(dong)產(chan)擔(dan)保(bao)交(jiao)易(yi)的(de)性(xing)質(zhi)產(chan)生(sheng)混(hun)淆(xiao)。

 

基於現行法律體係,承租人破產時,出租人行使的應是物權返還請求權。出租人要求取回租賃物,這一權利的行使並不依破產程序行使(但與破產程序關聯)。根據《企業破產法》第三十八條規定,“人民法院受理破產申請後,債務人占有的不屬於債務人的財產,該財產的權利人可以通過管理人取回。但是,本法另有規定的除外。”由you此ci可ke見jian,根gen據ju原yuan合he同tong法fa第di二er百bai四si十shi二er條tiao和he破po產chan法fa的de該gai條tiao規gui定ding,在zai承cheng租zu人ren破po產chan時shi,出chu租zu人ren有you權quan向xiang管guan理li人ren提ti出chu取qu回hui租zu賃lin物wu,該gai等deng規gui定ding以yi及ji司si法fa實shi踐jian操cao作zuo應ying不bu存cun在zai爭zheng議yi。

3、售後回租

合同法對於有名合同的定義應該以該類合同最為普遍、shizhideneirongjinxingshuoming。jiurongzizulinhetongdedingyieryan,yingtixianyuputongzulinhetongzuiweishizhidequbieyijiquanliyiwuguanxidetedian。ershouhouhuizuzhishirongzizulindeyizhongteshuxingshi,zaiquanliyiwushangbingmeiyouteshuzhichu。ruguozaicichuduishouhouhuizudedingyijinxingguiding,haikenenghuidaozhiduiyurongzizulinhetongdedingyichanshenghunluan。

 

此外,在融資租賃實務中,售後回租隻是融資租賃的一種形式,其與杠杆租賃、轉租賃、委托租賃、聯合租賃等交易都是融資租賃交易的一種特殊表現。此處在法典定義中進行規定並無必要。

 

最後,也是最為重要的考量。從全球(融資)zulinxingyefazhanlaikan,wanquanyirongziweimudedehuizujiaoyizhujianjianshao,eryixiandaijinrongfuwuweimuderongzizulinzhujianfazhanweizhuliu。gaidengqingkuangxiaderongzizulinjiaoyikeyiweixuyaoxiandaishengchanshebeideqiye(特別是中小企業)提供包括金融、設備、服務等一體化的金融服務。相比於簡單的售後回租隻解決融資的特點,直租賃能更好地幫助、服務實體生產企業,更能體現融資租賃中“既融物、又融資”的特點,符合融資租賃回歸本源的要求。這也完全切合《國務院辦公廳關於加快融資租賃業發展的指導意見》提出“更好地發揮融資租賃服務實體經濟發展、促進經濟穩定增長和轉型升級的作用”。雖然售後回租業務在我國占有極大(甚至大於典型融資租賃)的de業ye務wu比bi例li,該gai等deng業ye務wu實shi則ze是shi我wo國guo金jin融rong管guan製zhi體ti係xi造zao成cheng的de原yuan因yin。該gai類lei售shou後hou回hui租zu業ye務wu與yu銀yin行xing信xin貸dai業ye務wu高gao度du類lei似si,雖sui然ran資zi產chan規gui模mo極ji大da,但dan從cong本ben質zhi上shang並bing沒mei有you體ti現xian融rong資zi租zu賃lin的de特te點dian,與yu抵di押ya貸dai款kuan業ye務wu也ye沒mei有you什shen麼me差cha別bie小xiao。因yin此ci,從cong行xing業ye發fa展zhan角jiao度du,售shou後hou回hui租zu並bing不bu代dai表biao融rong資zi租zu賃lin行xing業ye的de發fa展zhan方fang向xiang,在zai此ci增zeng加jia對dui於yu售shou後hou回hui租zu的de定ding義yi,可ke能neng會hui反fan向xiang催cui生sheng更geng多duo的de回hui租zu交jiao易yi,不bu利li於yu租zu賃lin行xing業ye的de“回歸本源”和交易創新發展。因此,我們不建議在民法典這類基本法律中將售後回租進行明確規定。

 

4、承租人違約時出租人的救濟

在現行合同法中,當承租人違約時,出租人的救濟主要體現在草案第五百四十四條(原合同法第二百四十八條),“承租人應當按照約定支付租金。承租人經催告後在合理期限內仍不支付租金的,出租人可以要求支付全部租金;也可以解除合同,收回租賃物。”yuanhetongfadetiaowenmingquelechengzurenweiyueshiqichengdanweiyuezerendefangshi。danzaishijianzhong,gaidengguidingsuirancongquanlijichushanghenhaodebaohulechuzurendequanli,danzaizhixingxiaolvshangqueyousuoqianque,zuizhongdaozhidalianganlizhongchuzurenhuodeshengsupanjuedannanyizhixingdeqingkuang。jutieryan,hetongfaduiyuchengzurenweiyueshichuzurenjiujideguiding,cunzaiyixialianggefangmiandewenti:

 

首先,是實踐中出租人需要兩次訴訟。在2014年最高法院關於融資租賃司法解釋 duicijinxingmingquezhihou,chuzurenbixutongguoliangcisusongdewentidaliangchuxian。zairongzizulinjiaoyizhong,chuzurensuiranxiangyousuoyouquan,dangaidengsuoyouquanzaiyidingchengdushangjinxingleruohua,jizhiyouzaichengzurenyanzhongweiyuehuopochanshiqifangdexingshisuoyouquan,shenzhizaiqiyanzhongweiyueshi,henduochuzurenyikaishiyehuikaolvzhiyaoqiuzujinquanbudaoqi,erbukaolvquhuizulinwu。jiyuci,womenrenweiguanyusuqingquanbuzujin(債權)和要求返還租賃物(物權)訴su訟song雙shuang軌gui製zhi給gei出chu租zu人ren維wei護hu自zi身shen權quan益yi造zao成cheng嚴yan重zhong阻zu礙ai,在zai債zhai權quan之zhi訴su強qiang製zhi執zhi行xing中zhong發fa現xian租zu賃lin物wu卻que無wu法fa采cai取qu執zhi行xing措cuo施shi,另ling訴su將jiang延yan誤wu時shi機ji,造zao成cheng租zu賃lin物wu丟diu失shi、租zu賃lin物wu價jia值zhi減jian損sun,並bing且qie浪lang費fei司si法fa資zi源yuan。即ji使shi從cong租zu賃lin物wu價jia值zhi角jiao度du保bao護hu承cheng租zu人ren利li益yi,應ying通tong過guo設she立li執zhi行xing異yi議yi或huo者zhe建jian立li其qi他ta簡jian易yi聽ting證zheng程cheng序xu等deng方fang式shi平ping衡heng雙shuang方fang權quan益yi,不bu應ying幹gan涉she出chu租zu人ren作zuo為wei所suo有you權quan人ren對dui租zu賃lin物wu的de所suo有you權quan,保bao障zhang取qu回hui權quan的de行xing使shi效xiao率lv。因yin此ci,我wo們men建jian議yi在zai訴su求qiu租zu金jin的de情qing況kuang下xia,可ke考kao慮lv允yun許xu出chu租zu人ren就jiu處chu置zhi租zu賃lin物wu所suo得de優you先xian受shou償chang。

四、合同解除

我們注意到此次民法典合同編吸收了司法解釋中融資租賃合同和買賣合同解除時的安排。根據融資租賃合同三方當事人、兩個合同的交易特點,買賣合同產生的基礎是融資租賃合同,融資租賃合同的履行依賴買賣合同,因此,買賣、融資租賃合同中任何一個合同的解除或效力問題都會對另一個合同的履行造成影響。

 

suirancaoanyijingduiyumaimaihetongjiechuduirongzizulinhetongxiaoliyingxiangjinxingleguiding,womenjianyihaixuyaokaolvrongzizulinhetongjiechushiduimaimaihetongdeyingxiang,yigongpingduimaifangquanliyibingjinxingbaohu。youyurongzizulinhetonglianggehetong、三(san)方(fang)當(dang)事(shi)人(ren)之(zhi)間(jian)權(quan)利(li)義(yi)務(wu)交(jiao)叉(cha)分(fen)配(pei)的(de)問(wen)題(ti),租(zu)賃(lin)合(he)同(tong)和(he)買(mai)賣(mai)合(he)同(tong)解(jie)除(chu)一(yi)直(zhi)是(shi)司(si)法(fa)實(shi)踐(jian)中(zhong)比(bi)較(jiao)複(fu)雜(za)且(qie)未(wei)得(de)到(dao)有(you)效(xiao)處(chu)理(li)的(de)問(wen)題(ti)。因(yin)此(ci),對(dui)於(yu)融(rong)資(zi)租(zu)賃(lin)合(he)同(tong)解(jie)除(chu)時(shi)買(mai)賣(mai)合(he)同(tong)處(chu)理(li)的(de)規(gui)定(ding)能(neng)起(qi)到(dao)提(ti)示(shi)權(quan)利(li)義(yi)務(wu)的(de)作(zuo)用(yong),有(you)助(zhu)於(yu)促(cu)進(jin)交(jiao)易(yi)的(de)達(da)成(cheng)和(he)進(jin)行(xing)。在(zai)索(suo)賠(pei)權(quan)的(de)問(wen)題(ti)上(shang),法(fa)律(lv)進(jin)行(xing)了(le)打(da)破(po)合(he)同(tong)相(xiang)對(dui)性(xing)的(de)規(gui)定(ding)。該(gai)等(deng)考(kao)量(liang),主(zhu)要(yao)是(shi)基(ji)於(yu)出(chu)賣(mai)人(ren)違(wei)約(yue)時(shi)對(dui)承(cheng)租(zu)人(ren)的(de)救(jiu)濟(ji);xiangfan,zaichengzurenhuochuzurenweiyueshi,chumairenyicunzaixiangchuzurenhuochengzurenzhuzhangquanlideqingkuang。erfalvhecaoanduiyugaidengqingkuangbingmeiyousheji,yemeiyoumingquedezhiyin。zaicijichushang,womenyejianyizengjiaxiangguantiaokuan,duiyurongzizulinjiechushimaimaihetongdejiechuzuochuxiangyingguiding。
