商品房買賣合同解除權消滅後如何解脫履行困境?

一、問題的提出

筆者去年同時代理了兩件商品房買賣合同糾紛案件,一件是買受人作為委托人,另一件是出賣人作為委托人。

在zai買mai受shou人ren作zuo為wei委wei托tuo人ren的de案an件jian中zhong,雙shuang方fang簽qian署shu的de商shang品pin房fang買mai賣mai合he同tong約yue定ding買mai受shou人ren分fen兩liang期qi支zhi付fu購gou房fang款kuan。買mai受shou人ren支zhi付fu首shou期qi款kuan後hou不bu久jiu,出chu賣mai人ren資zi金jin鏈lian斷duan裂lie,項xiang目mu停ting工gong,買mai受shou人ren停ting止zhi支zhi付fu剩sheng餘yu購gou房fang款kuan,雙shuang方fang均jun未wei提ti出chu解jie除chu合he同tong。拖tuo延yan數shu年nian後hou,出chu賣mai人ren現xian已yi完wan成cheng項xiang目mu施shi工gong,符fu合he交jiao房fang與yu辦ban證zheng條tiao件jian。因yin房fang價jia上shang漲zhang,買mai受shou人ren願yuan意yi支zhi付fu剩sheng餘yu購gou房fang款kuan並bing要yao求qiu出chu賣mai人ren交jiao房fang辦ban證zheng,而er出chu賣mai人ren要yao求qiu解jie除chu合he同tong。

以yi上shang兩liang案an基ji本ben情qing況kuang相xiang同tong,都dou是shi買mai受shou人ren拖tuo延yan多duo年nian未wei付fu清qing購gou房fang款kuan,出chu賣mai人ren從cong未wei行xing使shi合he同tong解jie除chu權quan。筆bi者zhe分fen別bie代dai理li商shang品pin房fang買mai賣mai合he同tong的de兩liang方fang。在zai出chu賣mai人ren作zuo為wei委wei托tuo人ren的de案an件jian中zhong,筆bi者zhe希xi望wang法fa院yuan認ren定ding出chu賣mai人ren有you權quan解jie除chu合he同tong;而在買受人作為委托人的案件中,筆者希望法院認定出賣人無權解除合同。兩個要求在表麵上看是相互矛盾的。

關於商品房買賣合同解除權的行使期限,我國合同法未作出明確規定。《最高院關於審理商品房買賣合同糾紛案件適用法律若幹問題的解釋》(以下簡稱“商品房買賣合同司法解釋”)第十五條第2款作出解釋:falvmeiyouguidinghuozhedangshirenmeiyouyueding,jingduifangdangshirencuigaohou,jiechuquanxingshideheliqixianweisangeyue。duifangdangshirenmeiyoucuigaode,jiechuquanyingdangzaijiechuquanfashengzhiriqiyinianneixingshi;逾期不行使的,解除權消滅。

如ru果guo機ji械xie地di按an商shang品pin房fang買mai賣mai合he同tong司si法fa解jie釋shi的de字zi麵mian意yi思si理li解jie,解jie除chu權quan行xing使shi期qi限xian屆jie滿man,解jie除chu權quan人ren喪sang失shi解jie除chu權quan,並bing且qie永yong遠yuan消xiao滅mie解jie除chu權quan,是shi否fou公gong平ping呢ne?

筆bi者zhe認ren為wei,肯ken定ding不bu公gong平ping。舉ju個ge極ji端duan的de例li子zi,筆bi者zhe辦ban理li的de出chu賣mai人ren作zuo為wei委wei托tuo人ren的de案an件jian,買mai受shou人ren失shi聯lian多duo年nian,如ru果guo買mai受shou人ren已yi經jing死si亡wang,而er他ta的de家jia屬shu又you不bu知zhi道dao他ta曾zeng經jing簽qian署shu過guo該gai商shang品pin房fang買mai賣mai合he同tong,則ze永yong遠yuan不bu會hui有you人ren來lai找zhao出chu賣mai人ren解jie決jue後hou續xu事shi宜yi;yihuozhemaishourenshizaimeiyoujingjinenglizhifushengyugoufangkuan。anjiechuquanyongyuanxiaomiedesiluchuli,chumairenjiuzhinengyongyuanweichishengyugoufangkuanshoubudaoershangpinfangyoubunenglingxingzhuanshoudexianzhuang,zhemingxianshibugongpingde。tongyang,chumairenyuqibujiaofang,ruguoxiangmutinggong10年、20年,買受人也不能解除合同,隻能等待,同樣也是不公平的。

建(jian)立(li)解(jie)除(chu)權(quan)消(xiao)滅(mie)製(zhi)度(du)的(de)本(ben)意(yi)是(shi)為(wei)了(le)避(bi)免(mian)使(shi)合(he)同(tong)長(chang)期(qi)處(chu)於(yu)不(bu)確(que)定(ding)狀(zhuang)態(tai),如(ru)果(guo)解(jie)除(chu)權(quan)消(xiao)滅(mie)指(zhi)的(de)是(shi)永(yong)遠(yuan)消(xiao)滅(mie),則(ze)可(ke)能(neng)使(shi)合(he)同(tong)再(zai)次(ci)進(jin)入(ru)一(yi)個(ge)不(bu)確(que)定(ding)狀(zhuang)態(tai),合(he)同(tong)將(jiang)陷(xian)入(ru)履(lv)行(xing)困(kun)境(jing)。永(yong)遠(yuan)消(xiao)滅(mie)的(de)思(si)路(lu)明(ming)顯(xian)並(bing)不(bu)符(fu)合(he)解(jie)除(chu)權(quan)消(xiao)滅(mie)製(zhi)度(du)的(de)本(ben)意(yi),反(fan)而(er)使(shi)守(shou)約(yue)方(fang)的(de)合(he)同(tong)權(quan)利(li)不(bu)完(wan)整(zheng),違(wei)約(yue)方(fang)卻(que)從(cong)違(wei)約(yue)行(xing)為(wei)中(zhong)得(de)利(li),明(ming)顯(xian)不(bu)公(gong)平(ping)。關(guan)於(yu)商(shang)品(pin)房(fang)買(mai)賣(mai)合(he)同(tong)司(si)法(fa)解(jie)釋(shi)第(di)十(shi)五(wu)條(tiao)第(di)2款合同解除權消滅的理解,應當重新反思與研究,尋求解脫履行困境的思路。

二、類似案例觀點的梳理

筆者仔細研讀了最高人民法院民事審判第一庭編著的《最高人民法院關於審理商品房買賣合同糾紛案件適用法律若幹問題的解釋的理解與適用》一書,但對於筆者所遇到的問題在該書找不到答案,該書僅闡述了合同解除權和除斥期間的基本法理,摘錄如下:

合he同tong解jie除chu權quan屬shu於yu形xing成cheng權quan,有you權quan解jie除chu合he同tong的de一yi方fang單dan方fang麵mian作zuo出chu解jie除chu合he同tong的de意yi思si表biao示shi即ji可ke解jie除chu合he同tong。解jie除chu權quan的de行xing使shi必bi須xu及ji時shi,因yin為wei在zai一yi方fang享xiang有you解jie除chu權quan時shi,該gai當dang事shi人ren長chang期qi不bu行xing使shi解jie除chu權quan,會hui影ying響xiang當dang事shi人ren雙shuang方fang權quan利li義yi務wu關guan係xi的de確que定ding。在zai一yi方fang違wei約yue導dao致zhi另ling一yi方fang享xiang有you解jie除chu權quan時shi,權quan利li人ren可ke在zai行xing使shi解jie除chu權quan和he要yao求qiu實shi際ji履lv行xing間jian作zuo出chu選xuan擇ze。不bu管guan作zuo出chu何he種zhong選xuan擇ze,都dou應ying及ji時shi確que定ding,不bu能neng久jiu拖tuo不bu決jue。如ru果guo超chao過guo一yi定ding期qi限xian不bu行xing使shi解jie除chu權quan,應ying視shi為wei已yi損sun失shi解jie除chu權quan。所suo以yi在zai出chu現xian了le法fa定ding的de解jie除chu權quan或huo約yue定ding的de解jie除chu條tiao件jian成cheng就jiu以yi後hou,一yi方fang享xiang有you解jie除chu權quan,但dan該gai解jie除chu權quan必bi須xu在zai規gui定ding的de期qi限xian內nei行xing使shi。 

解jie除chu權quan消xiao滅mie製zhi度du不bu但dan有you利li於yu保bao證zheng交jiao易yi安an全quan和he秩zhi序xu,也ye有you利li於yu公gong正zheng地di保bao護hu債zhai務wu人ren的de利li益yi。在zai解jie除chu權quan行xing使shi前qian,合he同tong關guan係xi處chu於yu不bu確que定ding狀zhuang態tai。如ru果guo長chang期qi不bu行xing使shi,使shi債zhai務wu人ren選xuan擇ze變bian得de相xiang當dang困kun難nan。解jie除chu權quan消xiao滅mie製zhi度du就jiu是shi為wei促cu使shi債zhai權quan人ren更geng好hao地di行xing使shi法fa定ding解jie除chu權quan,避bi免mian解jie除chu權quan的de濫lan用yong,從cong這zhe個ge角jiao度du來lai說shuo,這zhe亦yi是shi公gong平ping原yuan則ze及ji誠cheng實shi信xin用yong原yuan則ze之zhi要yao求qiu。 商品房買賣司法解釋第2款中的三個月和一年兩個期間,均屬於除斥期間,即為不變期間,不存在終止、中斷或延長的情形。 

筆bi者zhe轉zhuan而er尋xun找zhao類lei似si案an例li,經jing梳shu理li發fa現xian,大da多duo數shu的de法fa院yuan均jun簡jian單dan適shi用yong司si法fa解jie釋shi第di十shi五wu條tiao的de規gui定ding,認ren定ding超chao過guo解jie除chu權quan除chu斥chi期qi間jian即ji喪sang失shi解jie除chu權quan。但dan也ye有you個ge別bie法fa院yuan不bu適shi用yong該gai條tiao款kuan,判pan決jue解jie除chu合he同tong。筆bi者zhe針zhen對dui提ti出chu不bu適shi用yong解jie除chu權quan除chu斥chi期qi間jian的de幾ji種zhong理li由you,摘zhai錄lu幾ji個ge典dian型xing案an例li:

(一)解除權除斥期間不適用於約定解除

在(zai)陳(chen)聖(sheng)健(jian)與(yu)浙(zhe)江(jiang)一(yi)統(tong)實(shi)業(ye)有(you)限(xian)公(gong)司(si)商(shang)品(pin)房(fang)預(yu)售(shou)合(he)同(tong)糾(jiu)紛(fen)再(zai)審(shen)複(fu)查(zha)與(yu)審(shen)判(pan)監(jian)督(du)案(an)件(jian)中(zhong),申(shen)請(qing)人(ren)以(yi)商(shang)品(pin)房(fang)司(si)法(fa)解(jie)釋(shi)第(di)十(shi)五(wu)條(tiao)不(bu)適(shi)用(yong)於(yu)約(yue)定(ding)解(jie)除(chu)情(qing)形(xing)提(ti)起(qi)再(zai)審(shen)。法(fa)院(yuan)在(zai)裁(cai)定(ding)書(shu)中(zhong)認(ren)為(wei):congguidingjiechuquanchuchiqijiandelifamudelaikan,buguanshifadingjiechuquanhaishiyuedingjiechuquan,zaichuchiqijianzhegewentishangbingwuerzhi,hetongfadijiushiwutiaoguidingdejiechuquanxiaomieqingxingyiweijiufadingjiechuquanheyuedingjiechuquanzuochuqufen。guershenpanjuerenweifadingjiechuquanheyuedingjiechuquanzaichuchiqijianwentishangkeyixianghucanzhaoshiyongyouguanfalvguifan,bingwubudang。chenshengjianguanyu《最高人民法院關於審理商品房買賣合同糾紛案件適用法律若幹問題的解釋》第十五條的規定僅能適用於法定解除權情形而本案不能參照適用的主張,有悖於解除權除斥期間的立法目的,難以成立。根據《最高人民法院關於審理商品房買賣合同糾紛案件適用法律若幹問題的解釋》第十五條第二款的規定,陳聖健行使解除權已經超過一年除斥期間,原判據此駁回其要求解除合同之訴請,適用法律並無不當。 

筆者認為,法院的觀點是正確的。該案再審裁定於2015年作出,2017年10月1日起施行的《民法總則》第一百九十九條進一步明確:法律規定或者當事人約定的撤銷權、解除權等權利的存續期間,除法律另有規定外,自權利人知道或者應當知道權利產生之日起計算,不適用有關訴訟時效中止、中斷和延長的規定。故解除權除斥期間不適用於約定解除的觀點是不能成立的。

(二)解除權除斥期間適用的前提是法律沒有規定或者當事人沒有約定

杭州嘉誼置業有限公司與張宏偉房屋買賣合同糾紛一案中,法院認為:《最高人民法院關於審理商品房買賣合同糾紛案件適用法律若幹問題的解釋》第十五條關於未經催告的合同解除權應當在解除權發生之日起一年內未行使的規定,適用的前提是“法律沒有規定或者當事人沒有約定”。而本案中,《商品房買賣合同》明確約定,被告逾期支付購房款超過90日的,原告有權解除合同,故原告享有解除合同的權利。 

筆者認為,《商品房買賣合同》約定的買受人逾期支付購房款超過90日的,出賣人有權解除合同,指的是合同解除的條件,而非解除權行使的期限,這是兩個概念。逾期90日,僅僅是成就了出賣人行使解除權的條件,逾期90日(ri)後(hou),出(chu)賣(mai)人(ren)可(ke)以(yi)行(xing)使(shi)解(jie)除(chu)權(quan),而(er)行(xing)使(shi)解(jie)除(chu)權(quan)也(ye)需(xu)要(yao)一(yi)定(ding)的(de)時(shi)間(jian),這(zhe)個(ge)時(shi)間(jian)期(qi)限(xian)就(jiu)是(shi)解(jie)除(chu)權(quan)除(chu)斥(chi)期(qi)間(jian)。最(zui)高(gao)人(ren)民(min)法(fa)院(yuan)民(min)事(shi)審(shen)判(pan)第(di)一(yi)庭(ting)編(bian)著(zhu)的(de)《最高人民法院關於審理商品房買賣合同糾紛案件適用法律若幹問題的解釋的理解與適用》一書第199頁,作者明確表明了“本條司法解釋第2kuanjishiduijiechuquanxingshiqixiandeguiding。gaikuanguiding,falvmeiyouguidinghuozhedangshirenmeiyouyuedingjiechuquanxingshiqixiande,jingduifangdangshirencuigaohou,jiechuquanyingdangzaijiechuquanfashengzhiriqisangeyueneixingshi。”故很明確,商品房司法解釋第十五條第2款中的“法律沒有規定或者當事人沒有約定”指的是解除權的行使期限,而不是行使解除權的條件。這個觀點是不能成立的。

(三)以公平原則不適用商品房買賣合同司法解釋第十五條

在溫州時代集團大地房地產開發有限公司與季麗燕商品房銷售合同糾紛二審案件中,法院認為:xuyaotebieshuomingdeshi,benanxijiliyanchiyanlvxingfukuanyiwudaozhihetongjiechu,jingwenzhoushidaijituandadifangdichankaifayouxiangongsiduocifahanyaoqiubeigaolvxingfukuanyiwu,xianjiliyanjujuelvxingfukuanyiwu,youbutongyijiechuhetong,yeyisunhaiwenzhoushidaijituandadifangdichankaifayouxiangongsidehefaquanyi,youweigongpingyuanze,jiliyandeshangshuxingweidaozhihetonglvxingbuneng,gujiliyanyiwenzhoushidaijituandadifangdichankaifayouxiangongsixingshihetongjiechuquanyijingchaoguofadingchuchiqijiandekangbianliyou,bunengchengli,buyucaixin。xianwenzhoushidaijituandadifangdichankaifayouxiangongsiqingqiufayuanpanjuejiechushuangfangde《商品房買賣合同》,係其訴訟權利的選擇,於法無悖,依法予以支持。 

筆bi者zhe認ren為wei,法fa院yuan的de觀guan點dian是shi值zhi得de商shang榷que的de。首shou先xian,買mai受shou人ren未wei付fu款kuan,屬shu於yu不bu履lv行xing金jin錢qian債zhai務wu,而er金jin錢qian債zhai務wu不bu存cun在zai履lv行xing不bu能neng的de問wen題ti,隻zhi存cun在zai遲chi延yan履lv行xing的de問wen題ti;其(qi)次(ci),行(xing)使(shi)合(he)同(tong)解(jie)除(chu)權(quan)是(shi)否(fou)超(chao)過(guo)法(fa)定(ding)除(chu)斥(chi)期(qi)間(jian)是(shi)一(yi)個(ge)時(shi)間(jian)計(ji)算(suan)問(wen)題(ti),不(bu)能(neng)以(yi)買(mai)受(shou)人(ren)未(wei)付(fu)款(kuan)也(ye)不(bu)同(tong)意(yi)解(jie)除(chu)合(he)同(tong)就(jiu)直(zhi)接(jie)認(ren)定(ding)不(bu)適(shi)用(yong)解(jie)除(chu)權(quan)除(chu)斥(chi)期(qi)間(jian),這(zhe)是(shi)邏(luo)輯(ji)錯(cuo)誤(wu);再次,公平原則是合同法基本原則,其本身不是法律規範,不宜直接成為法院裁判的理由,而排除明確法律規範的適用。

(四)未說明理由直接不適用商品房買賣合同司法解釋第十五條

在胡國挺與浙江愛茵霍芬置業有限公司房屋買賣合同糾紛二審案件中,法院認為:同時合同附件八第六條第1款還約定,胡國挺未按本合同第七條約定時間辦妥按揭貸款手續的……逾(yu)期(qi)超(chao)過(guo)三(san)十(shi)日(ri)且(qie)胡(hu)國(guo)挺(ting)也(ye)未(wei)以(yi)其(qi)他(ta)方(fang)式(shi)付(fu)清(qing)全(quan)部(bu)房(fang)款(kuan)的(de),則(ze)置(zhi)業(ye)公(gong)司(si)有(you)權(quan)解(jie)除(chu)合(he)同(tong)。現(xian)胡(hu)國(guo)挺(ting)僅(jin)除(chu)支(zhi)付(fu)了(le)部(bu)分(fen)首(shou)付(fu)款(kuan)外(wai),剩(sheng)餘(yu)房(fang)款(kuan)至(zhi)今(jin)既(ji)未(wei)辦(ban)妥(tuo)按(an)揭(jie)貸(dai)款(kuan)手(shou)續(xu),亦(yi)未(wei)以(yi)其(qi)他(ta)方(fang)式(shi)付(fu)清(qing)全(quan)部(bu)房(fang)款(kuan),顯(xian)屬(shu)違(wei)約(yue)。故(gu)置(zhi)業(ye)公(gong)司(si)行(xing)使(shi)解(jie)除(chu)權(quan)不(bu)屬(shu)於(yu)《最高人民法院關於審理商品房買賣合同糾紛案件適用法律若幹問題的解釋》第十五條第二款的情形。

三、筆者的解決思路

(一)解除權消滅的對象是什麼

1、不bu能neng同tong時shi消xiao滅mie不bu同tong事shi由you的de解jie除chu權quan。在zai商shang品pin房fang買mai賣mai合he同tong履lv行xing過guo程cheng中zhong,可ke能neng產chan生sheng多duo個ge合he同tong解jie除chu事shi由you。這zhe在zai出chu賣mai人ren一yi方fang違wei約yue時shi,比bi較jiao明ming顯xian,除chu了le逾yu期qi交jiao付fu房fang屋wu可ke作zuo為wei解jie除chu合he同tong事shi由you外wai,商shang品pin房fang質zhi量liang不bu合he格ge、擅自變更規劃、麵mian積ji誤wu差cha比bi超chao過guo上shang限xian等deng均jun可ke能neng成cheng為wei解jie除chu合he同tong事shi由you,不bu同tong的de解jie除chu事shi由you針zhen對dui不bu同tong的de違wei約yue行xing為wei,不bu同tong的de解jie除chu事shi由you也ye會hui成cheng就jiu不bu同tong的de解jie除chu權quan。出chu賣mai人ren逾yu期qi交jiao付fu房fang屋wu的de解jie除chu權quan消xiao滅mie以yi後hou,合he同tong繼ji續xu履lv行xing,其qi他ta的de解jie除chu事shi由you如ru果guo成cheng就jiu解jie除chu權quan,買mai受shou人ren當dang然ran可ke以yi行xing使shi解jie除chu權quan,不bu能neng被bei消xiao滅mie。商shang品pin房fang買mai賣mai合he同tong司si法fa解jie釋shi第di十shi五wu條tiao隻zhi適shi用yong於yu出chu賣mai人ren逾yu期qi交jiao付fu房fang屋wu和he買mai受shou人ren逾yu期qi支zhi付fu購gou房fang款kuan兩liang種zhong事shi由you,不bu適shi用yong於yu其qi他ta解jie除chu權quan事shi由you,這zhe一yi點dian在zai司si法fa實shi踐jian中zhong爭zheng議yi不bu大da。說shuo明ming不bu同tong事shi由you成cheng就jiu的de解jie除chu權quan相xiang互hu獨du立li,不bu同tong的de解jie除chu權quan對dui象xiang不bu同tong,不bu能neng因yin一yi個ge解jie除chu權quan消xiao滅mie而er消xiao滅mie其qi他ta事shi由you的de解jie除chu權quan。

(二)可以通過合同法填補規則確定新的解除權行使期限

在商品房買賣合同中有三個期限:第一個是支付購房款或交付房屋的期限,這是履行期限;第二個是逾期多少天可解除合同的期限,這是解除權成就期限;第三個是解除權行使期限,即除斥期間。

在zai商shang品pin房fang買mai賣mai合he同tong履lv行xing過guo程cheng中zhong,買mai受shou人ren逾yu期qi支zhi付fu購gou房fang款kuan或huo出chu賣mai人ren逾yu期qi交jiao付fu房fang屋wu,如ru另ling一yi方fang在zai除chu斥chi期qi間jian內nei未wei行xing使shi解jie除chu權quan,解jie除chu權quan消xiao滅mie,合he同tong應ying繼ji續xu履lv行xing。但dan原yuan合he同tong所suo約yue定ding的de購gou房fang款kuan支zhi付fu期qi限xian和he房fang屋wu交jiao付fu期qi限xian已yi經jing過guo期qi,新xin的de購gou房fang款kuan支zhi付fu期qi限xian和he房fang屋wu交jiao付fu期qi限xian不bu明ming確que。根gen據ju合he同tong法fa誠cheng實shi信xin用yong的de基ji本ben原yuan則ze,雙shuang方fang應ying另ling行xing協xie商shang確que定ding新xin的de購gou房fang款kuan支zhi付fu期qi限xian和he房fang屋wu交jiao付fu期qi限xian,也ye可ke以yi約yue定ding新xin的de解jie除chu權quan成cheng就jiu條tiao件jian和he行xing使shi期qi限xian。如ru果guo能neng夠gou達da成cheng補bu充chong協xie議yi,即ji使shi發fa生sheng糾jiu紛fen,裁cai判pan者zhe很hen容rong易yi根gen據ju補bu充chong協xie議yi作zuo出chu裁cai決jue。

但(dan)實(shi)踐(jian)當(dang)中(zhong),雙(shuang)方(fang)很(hen)少(shao)能(neng)重(zhong)新(xin)簽(qian)署(shu)補(bu)充(chong)協(xie)議(yi),大(da)多(duo)數(shu)情(qing)況(kuang)雙(shuang)方(fang)並(bing)沒(mei)有(you)簽(qian)署(shu)補(bu)充(chong)協(xie)議(yi),而(er)使(shi)合(he)同(tong)處(chu)於(yu)不(bu)確(que)定(ding)狀(zhuang)態(tai),這(zhe)種(zhong)情(qing)況(kuang)怎(zen)麼(me)辦(ban)?筆(bi)者(zhe)認(ren)為(wei),雙(shuang)方(fang)應(ying)當(dang)繼(ji)續(xu)履(lv)行(xing)合(he)同(tong),而(er)又(you)對(dui)購(gou)房(fang)款(kuan)支(zhi)付(fu)期(qi)限(xian)和(he)房(fang)屋(wu)交(jiao)付(fu)期(qi)限(xian)沒(mei)有(you)簽(qian)署(shu)補(bu)充(chong)協(xie)議(yi)的(de)情(qing)況(kuang),屬(shu)於(yu)合(he)同(tong)約(yue)定(ding)不(bu)明(ming),根(gen)據(ju)合(he)同(tong)法(fa)完(wan)全(quan)可(ke)以(yi)進(jin)行(xing)填(tian)補(bu)。我(wo)國(guo)合(he)同(tong)法(fa)第(di)六(liu)十(shi)二(er)條(tiao)第(di)(四項)規(gui)定(ding),履(lv)行(xing)期(qi)限(xian)不(bu)明(ming)確(que)的(de),債(zhai)務(wu)人(ren)可(ke)以(yi)隨(sui)時(shi)履(lv)行(xing),債(zhai)權(quan)人(ren)也(ye)可(ke)以(yi)隨(sui)時(shi)要(yao)求(qiu)履(lv)行(xing),但(dan)應(ying)當(dang)給(gei)對(dui)方(fang)必(bi)要(yao)的(de)準(zhun)備(bei)時(shi)間(jian)。依(yi)此(ci)規(gui)定(ding),買(mai)受(shou)人(ren)可(ke)以(yi)隨(sui)時(shi)要(yao)求(qiu)出(chu)賣(mai)人(ren)交(jiao)付(fu)房(fang)屋(wu),出(chu)賣(mai)人(ren)也(ye)可(ke)以(yi)隨(sui)時(shi)要(yao)求(qiu)買(mai)受(shou)人(ren)支(zhi)付(fu)剩(sheng)餘(yu)購(gou)房(fang)款(kuan),隻(zhi)要(yao)給(gei)對(dui)方(fang)必(bi)要(yao)的(de)準(zhun)備(bei)時(shi)間(jian)。這(zhe)個(ge)必(bi)要(yao)的(de)準(zhun)備(bei)時(shi)間(jian)就(jiu)是(shi)新(xin)的(de)履(lv)行(xing)期(qi)限(xian)。根(gen)據(ju)合(he)同(tong)法(fa)填(tian)補(bu)規(gui)則(ze)確(que)定(ding)新(xin)的(de)履(lv)行(xing)期(qi)限(xian)之(zhi)後(hou),守(shou)約(yue)一(yi)方(fang)的(de)權(quan)利(li)仍(reng)應(ying)享(xiang)有(you)司(si)法(fa)救(jiu)濟(ji)的(de)權(quan)利(li),如(ru)果(guo)對(dui)方(fang)遲(chi)延(yan)履(lv)行(xing)的(de),可(ke)以(yi)根(gen)據(ju)商(shang)品(pin)房(fang)司(si)法(fa)解(jie)釋(shi)第(di)十(shi)五(wu)條(tiao)第(di)1款規定催告對方履行,這三個月的期限就是新的解除權成就的期限。對方仍不履行的,守約一方有權根據第2款重新獲得合同解除權。第2款中的三個月和一年就是新的解除權行使期限。

需(xu)要(yao)注(zhu)意(yi)的(de)是(shi),原(yuan)解(jie)除(chu)權(quan)消(xiao)滅(mie)後(hou),在(zai)後(hou)續(xu)履(lv)行(xing)過(guo)程(cheng)中(zhong),新(xin)獲(huo)得(de)的(de)解(jie)除(chu)權(quan)雖(sui)然(ran)在(zai)事(shi)由(you)上(shang)是(shi)一(yi)樣(yang)的(de),都(dou)是(shi)買(mai)受(shou)人(ren)逾(yu)期(qi)支(zhi)付(fu)購(gou)房(fang)款(kuan)或(huo)出(chu)賣(mai)人(ren)逾(yu)期(qi)交(jiao)付(fu)房(fang)屋(wu)。但(dan)在(zai)時(shi)點(dian)上(shang)是(shi)不(bu)一(yi)樣(yang)的(de),是(shi)不(bu)同(tong)的(de)履(lv)行(xing)階(jie)段(duan)產(chan)生(sheng)的(de)不(bu)同(tong)的(de)解(jie)除(chu)權(quan)。原(yuan)解(jie)除(chu)權(quan)對(dui)應(ying)的(de)是(shi)原(yuan)合(he)同(tong)條(tiao)款(kuan)中(zhong)交(jiao)付(fu)房(fang)屋(wu)或(huo)支(zhi)付(fu)款(kuan)項(xiang)期(qi)限(xian)逾(yu)期(qi)所(suo)成(cheng)就(jiu)的(de)解(jie)除(chu)權(quan),而(er)後(hou)續(xu)履(lv)行(xing)合(he)同(tong)中(zhong)重(zhong)新(xin)獲(huo)得(de)的(de)解(jie)除(chu)權(quan)對(dui)應(ying)的(de)是(shi)根(gen)據(ju)合(he)同(tong)填(tian)補(bu)規(gui)則(ze)所(suo)確(que)定(ding)的(de)交(jiao)付(fu)房(fang)屋(wu)或(huo)支(zhi)付(fu)款(kuan)項(xiang)期(qi)限(xian)逾(yu)期(qi)所(suo)成(cheng)就(jiu)的(de)解(jie)除(chu)權(quan)。

綜(zong)上(shang),合(he)同(tong)解(jie)除(chu)權(quan)除(chu)斥(chi)期(qi)間(jian)所(suo)消(xiao)滅(mie)的(de)解(jie)除(chu)權(quan)應(ying)當(dang)理(li)解(jie)為(wei)隻(zhi)能(neng)消(xiao)滅(mie)在(zai)除(chu)斥(chi)期(qi)間(jian)屆(jie)滿(man)日(ri)這(zhe)個(ge)時(shi)點(dian)以(yi)前(qian)的(de)解(jie)除(chu)權(quan)。除(chu)斥(chi)期(qi)間(jian)屆(jie)滿(man)以(yi)後(hou),合(he)同(tong)進(jin)入(ru)繼(ji)續(xu)履(lv)行(xing)的(de)狀(zhuang)態(tai),合(he)同(tong)法(fa)的(de)相(xiang)關(guan)規(gui)定(ding)仍(reng)應(ying)適(shi)用(yong),合(he)同(tong)法(fa)規(gui)定(ding)的(de)權(quan)利(li)仍(reng)應(ying)享(xiang)有(you),應(ying)當(dang)根(gen)據(ju)具(ju)體(ti)情(qing)況(kuang)分(fen)析(xi)確(que)定(ding)是(shi)否(fou)重(zhong)新(xin)獲(huo)得(de)解(jie)除(chu)權(quan),而(er)不(bu)能(neng)簡(jian)單(dan)理(li)解(jie)為(wei)守(shou)約(yue)方(fang)永(yong)遠(yuan)喪(sang)失(shi)解(jie)除(chu)權(quan)。“無救濟則無權利”,有you權quan利li就jiu應ying當dang有you救jiu濟ji,解jie除chu權quan是shi基ji本ben的de救jiu濟ji權quan,以yi幫bang助zhu當dang事shi人ren從cong無wu法fa履lv行xing的de合he同tong中zhong解jie脫tuo出chu來lai。沒mei有you解jie除chu權quan的de合he同tong權quan利li是shi不bu完wan整zheng的de,甚shen至zhi可ke以yi說shuo“沒有解除權的合同不是合同”。

(三)除斥期間屆滿後獲得的新解除權如何行使

zaishangpinfangmaimaihetongzhong,yifangweijishizhifugoufangkuanhuojiaofufangwu,zaiyuedingdejiechuquantiaojianchengjiuhou,lingyifangyibankeyizhijiexiangfayuanqisuyaoqiujiechuhetong。name,chuchiqijianjiemanhou,yifangrengchangqibuzhifugoufangkuanhuojiaofufangwu,shouyuefangnengfouzhijiexiangfayuanqisuyaoqiujiechuhetongne?

筆(bi)者(zhe)認(ren)為(wei),有(you)權(quan)解(jie)除(chu)合(he)同(tong)的(de)一(yi)方(fang)在(zai)解(jie)除(chu)合(he)同(tong)條(tiao)件(jian)成(cheng)就(jiu)時(shi),本(ben)應(ying)在(zai)除(chu)斥(chi)期(qi)間(jian)內(nei)就(jiu)解(jie)除(chu)合(he)同(tong)或(huo)繼(ji)續(xu)履(lv)行(xing)合(he)同(tong)作(zuo)出(chu)選(xuan)擇(ze)。如(ru)果(guo)有(you)意(yi)繼(ji)續(xu)履(lv)行(xing)合(he)同(tong),誠(cheng)實(shi)信(xin)用(yong)的(de)解(jie)決(jue)方(fang)式(shi)是(shi)應(ying)當(dang)在(zai)除(chu)斥(chi)期(qi)間(jian)內(nei),與(yu)對(dui)方(fang)協(xie)商(shang)確(que)定(ding)繼(ji)續(xu)履(lv)行(xing)的(de)補(bu)充(chong)協(xie)議(yi)以(yi)避(bi)免(mian)糾(jiu)紛(fen)。如(ru)果(guo)雙(shuang)方(fang)能(neng)達(da)成(cheng)補(bu)充(chong)協(xie)議(yi),則(ze)放(fang)棄(qi)解(jie)除(chu)權(quan);如(ru)果(guo)不(bu)能(neng)達(da)成(cheng)補(bu)充(chong)協(xie)議(yi),解(jie)除(chu)權(quan)人(ren)也(ye)可(ke)以(yi)在(zai)除(chu)斥(chi)期(qi)間(jian)屆(jie)滿(man)前(qian)作(zuo)出(chu)最(zui)後(hou)選(xuan)擇(ze)。而(er)解(jie)除(chu)權(quan)人(ren)如(ru)果(guo)未(wei)在(zai)除(chu)斥(chi)期(qi)間(jian)內(nei)解(jie)除(chu)合(he)同(tong),又(you)怠(dai)於(yu)協(xie)商(shang),實(shi)際(ji)上(shang)是(shi)自(zi)己(ji)甘(gan)於(yu)自(zi)冒(mao)風(feng)險(xian)進(jin)入(ru)交(jiao)付(fu)房(fang)屋(wu)或(huo)支(zhi)付(fu)購(gou)房(fang)款(kuan)期(qi)限(xian)不(bu)明(ming)確(que)的(de)狀(zhuang)態(tai),應(ying)當(dang)由(you)其(qi)自(zi)行(xing)承(cheng)擔(dan)一(yi)定(ding)的(de)責(ze)任(ren)。但(dan)這(zhe)個(ge)責(ze)任(ren)應(ying)當(dang)是(shi)有(you)限(xian)的(de),不(bu)能(neng)讓(rang)解(jie)除(chu)權(quan)人(ren)承(cheng)擔(dan)無(wu)法(fa)收(shou)到(dao)剩(sheng)餘(yu)購(gou)房(fang)款(kuan)或(huo)不(bu)能(neng)收(shou)到(dao)房(fang)屋(wu)的(de)後(hou)果(guo)。解(jie)除(chu)權(quan)消(xiao)滅(mie)製(zhi)度(du)消(xiao)滅(mie)的(de)隻(zhi)是(shi)解(jie)除(chu)權(quan),並(bing)不(bu)消(xiao)滅(mie)主(zhu)要(yao)債(zhai)權(quan)。這(zhe)個(ge)責(ze)任(ren)應(ying)當(dang)是(shi)指(zhi)同(tong)意(yi)按(an)合(he)同(tong)法(fa)填(tian)補(bu)規(gui)則(ze)給(gei)對(dui)方(fang)必(bi)要(yao)的(de)準(zhun)備(bei)時(shi)間(jian)履(lv)行(xing)合(he)同(tong),而(er)不(bu)能(neng)隨(sui)意(yi)解(jie)除(chu)合(he)同(tong)。

對dui違wei約yue未wei支zhi付fu購gou房fang款kuan或huo未wei交jiao付fu房fang屋wu一yi方fang而er言yan,解jie除chu權quan除chu斥chi期qi間jian內nei,合he同tong處chu於yu不bu確que定ding的de狀zhuang態tai,除chu斥chi期qi間jian屆jie滿man後hou,解jie除chu權quan人ren沒mei有you選xuan擇ze解jie除chu合he同tong時shi,才cai確que定ding應ying當dang繼ji續xu履lv行xing合he同tong。此ci時shi,違wei約yue方fang應ying當dang有you兩liang個ge權quan利li,一yi個ge是shi要yao求qiu重zhong新xin協xie商shang確que定ding履lv行xing期qi限xian的de權quan利li,另ling一yi個ge是shi協xie商shang不bu成cheng時shi要yao求qiu適shi用yong法fa律lv推tui定ding一yi個ge合he理li期qi限xian的de權quan利li。違wei約yue方fang的de權quan利li同tong樣yang也ye應ying得de到dao適shi度du的de保bao護hu。

故,沒有達成補充協議的情況下,新的交付房屋或支付購房款期限不明確,必須依據合同法第六十二條第(四項)規定,給對方必要的準備時間履行合同;且解除權的成就期限也不明確,必須依據商品房買賣合同司法解釋第十五條第1款的規定先行催告,才能重新獲得解除權。

在(zai)許(xu)多(duo)的(de)案(an)例(li)當(dang)中(zhong),商(shang)品(pin)房(fang)買(mai)賣(mai)合(he)同(tong)一(yi)方(fang)拖(tuo)延(yan)數(shu)年(nian)未(wei)支(zhi)付(fu)購(gou)房(fang)款(kuan)或(huo)房(fang)屋(wu)不(bu)符(fu)合(he)交(jiao)付(fu)條(tiao)件(jian),另(ling)一(yi)方(fang)在(zai)原(yuan)解(jie)除(chu)權(quan)除(chu)斥(chi)期(qi)間(jian)內(nei)未(wei)行(xing)使(shi)解(jie)除(chu)權(quan),數(shu)年(nian)後(hou)又(you)突(tu)然(ran)起(qi)訴(su)要(yao)求(qiu)解(jie)除(chu)合(he)同(tong),法(fa)院(yuan)一(yi)般(ban)以(yi)商(shang)品(pin)房(fang)買(mai)賣(mai)合(he)同(tong)司(si)法(fa)解(jie)釋(shi)第(di)十(shi)五(wu)條(tiao)第(di)2款(kuan)規(gui)定(ding)的(de)解(jie)除(chu)權(quan)除(chu)斥(chi)期(qi)間(jian)屆(jie)滿(man)為(wei)由(you)駁(bo)回(hui)解(jie)除(chu)合(he)同(tong)的(de)訴(su)訟(song)請(qing)求(qiu)。筆(bi)者(zhe)認(ren)為(wei),雖(sui)然(ran)其(qi)結(jie)果(guo)正(zheng)確(que),但(dan)理(li)由(you)是(shi)錯(cuo)誤(wu)的(de),應(ying)當(dang)認(ren)定(ding)原(yuan)解(jie)除(chu)權(quan)已(yi)經(jing)消(xiao)滅(mie),後(hou)續(xu)履(lv)行(xing)過(guo)程(cheng),未(wei)履(lv)行(xing)催(cui)告(gao)義(yi)務(wu),以(yi)不(bu)符(fu)合(he)解(jie)除(chu)條(tiao)件(jian)為(wei)由(you)駁(bo)回(hui)解(jie)除(chu)合(he)同(tong)的(de)訴(su)訟(song)請(qing)求(qiu)。

四、結語

商(shang)品(pin)房(fang)買(mai)賣(mai)合(he)同(tong)糾(jiu)紛(fen)關(guan)係(xi)到(dao)百(bai)姓(xing)的(de)安(an)居(ju)問(wen)題(ti),是(shi)民(min)生(sheng)問(wen)題(ti),對(dui)於(yu)商(shang)品(pin)房(fang)買(mai)賣(mai)合(he)同(tong)司(si)法(fa)解(jie)釋(shi)第(di)十(shi)五(wu)條(tiao)的(de)正(zheng)確(que)理(li)解(jie)與(yu)適(shi)用(yong)非(fei)常(chang)重(zhong)要(yao)。筆(bi)者(zhe)認(ren)為(wei),針(zhen)對(dui)商(shang)品(pin)房(fang)買(mai)賣(mai)合(he)同(tong)司(si)法(fa)解(jie)釋(shi)第(di)十(shi)五(wu)條(tiao)第(di)2款的理解,應當建立以下兩個規則,期待將來的司法解釋對此問題作出規定:

1、解除權行使期限屆滿,該解除權消滅。雙方均有義務繼續履行合同,並重新協商確定交付房屋或支付購房款的期限。

2、解(jie)除(chu)權(quan)行(xing)使(shi)期(qi)限(xian)屆(jie)滿(man)以(yi)後(hou),雙(shuang)方(fang)未(wei)重(zhong)新(xin)協(xie)商(shang)確(que)定(ding)交(jiao)付(fu)房(fang)屋(wu)或(huo)支(zhi)付(fu)購(gou)房(fang)款(kuan)的(de)期(qi)限(xian),債(zhai)權(quan)人(ren)可(ke)以(yi)隨(sui)時(shi)要(yao)求(qiu)債(zhai)務(wu)人(ren)履(lv)行(xing),但(dan)應(ying)當(dang)給(gei)對(dui)方(fang)必(bi)要(yao)的(de)準(zhun)備(bei)時(shi)間(jian);必要的準備時間期滿後,債務人仍未履行債務的,債權人應先行催告債務人在合理期間內履行。未經催告要求解除合同的,不予支持。
